These Terms of Service ("Terms") govern your access to and use of the EVC Platform ("Service"), operated by Wizdom Networks ("Company", "we", "us", "our"), a corporation organized under the laws of Canada.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Service Description

The EVC Platform is an AI-powered software build system that generates applications from natural language prompts. The Service uses large language models (LLMs) to decompose, generate, verify, and deliver software through an evidence-based governance pipeline. Builds produce verifiable evidence records documenting quality decisions made throughout the build process.


2. Account Registration and Eligibility

2.1 Eligibility

You must be at least 18 years old and capable of entering into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.2 Account Creation

To use the Service, you must create an account by providing a valid email address, display name, and password. You must verify your email address before accessing the Service. Unverified accounts are purged after 72 hours.

2.3 Account Security

You are responsible for maintaining the confidentiality of your credentials. You must not share your account credentials with others. You must notify us immediately if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your account.

2.4 Organizations

You may create or join organizations within the Service. Organization administrators are responsible for managing membership, roles, and permissions within their organization.


3. Subscription Tiers and Billing

3.1 Free Trial

New users receive a 14-day free trial with full Professional-tier access, including 5 Standard build credits and 1 project. A valid payment method is required at signup. At the end of the trial period, your account will automatically convert to a Professional subscription unless you cancel before the trial ends.

3.2 Paid Tiers

Annual pricing reflects a 15% discount over monthly billing. Prices are listed in US dollars and are exclusive of applicable taxes.

3.3 Billing

Subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. You authorize us to charge your payment method on file for recurring subscription fees and any applicable overage charges.

If payment fails, we will attempt to collect up to three times over a 14-day grace period. If payment remains unsuccessful after the grace period, your account will be suspended. Suspended accounts cannot create new builds but retain access to existing build artifacts for 30 days. After 30 days of suspension, the account is subject to termination.

3.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel during a billing period, your access continues until the end of that period. Unused build credits do not carry over to subsequent billing periods and are not refundable.

3.5 Price Changes

We may change subscription prices with at least 30 days' written notice. Price changes take effect at the start of your next billing period following the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.


4. Build Credits and Usage

4.1 Build Credit System

The Service uses build credits to meter usage. Different build types consume different amounts of credits:

Each subscription tier includes a set number of build credits per billing period. Credits reset at the start of each billing period and do not roll over.

4.2 Overage

When you exhaust your included credits, additional builds are charged at overage rates:

  • Professional: $0.80 per Standard build credit equivalent
  • Team: $0.70 per Standard build credit equivalent
  • Enterprise: Negotiated rate

Overage charges are invoiced at the end of each billing period along with your next subscription payment.

4.3 Quota Enforcement

Build requests that would exceed your available credits (included + overage allowance) will be queued or rejected. You may purchase additional credit packs or upgrade your tier at any time to increase your available credits.


5. Acceptable Use

Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. Violations of the Acceptable Use Policy may result in warning, suspension, or termination of your account.


6. Intellectual Property

6.1 Your Content

You retain all ownership rights in the prompts you submit to the Service and the build output (generated source code, assets, and artifacts) produced by the Service from your prompts. We do not claim ownership of your prompts or build output.

You grant us a limited license to process your prompts and build output as necessary to provide the Service, including transmitting prompts to LLM providers for build execution.

6.2 Platform Ownership

We retain all ownership rights in the EVC Platform, including its software, algorithms, pipeline architecture, user interface, documentation, and trademarks. Nothing in these Terms grants you any right to our intellectual property except the limited right to use the Service as described herein.

6.3 Evidence Records

Build evidence records (quality assessments, stage telemetry, governance metadata, and verification results) are platform data generated by the Service during build execution. Evidence records are not your intellectual property. We may use evidence records in aggregated, anonymized form for Service improvement, analytics, and research.

You have the right to access and export evidence records associated with your builds during your subscription period and for the retention period applicable to your tier.

6.4 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without restriction or obligation to you.


7. Third-Party Services

7.1 LLM Providers

The Service uses third-party large language model providers (including Anthropic and OpenAI) to execute builds. Your prompts are transmitted to these providers for processing. We select providers based on build requirements and may change providers without notice. Provider use is subject to their respective terms of service and privacy policies.

7.2 Payment Processing

Payment processing is handled by Stripe. Your payment information is collected and processed by Stripe under their terms of service and privacy policy. We do not store your full payment card details.


8. Service Availability

8.1 Availability

We use commercially reasonable efforts to maintain the availability of the Service. However, the Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.

8.2 Maintenance

We may perform scheduled and unscheduled maintenance that temporarily affects Service availability. We will use reasonable efforts to provide advance notice of scheduled maintenance.

8.3 Enterprise SLA

Service level agreements with guaranteed uptime commitments are available only under Enterprise tier agreements and are governed by the terms of the applicable Enterprise agreement.


9. Limitation of Liability

9.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) build output will be accurate, complete, or suitable for any particular purpose; or (d) defects in the Service will be corrected.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

9.3 Build Output Disclaimer

Build output is generated by AI systems and may contain errors, security vulnerabilities, or incomplete implementations. You are solely responsible for reviewing, testing, and validating all build output before use in any production environment. We are not liable for any damages arising from your use of build output.


10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until the end of the paid period.

10.2 Termination by Us

We may suspend or terminate your account immediately if you: (a) violate these Terms or the Acceptable Use Policy; (b) fail to pay subscription fees after the grace period; (c) use the Service in a manner that threatens the security or integrity of the Service or other users; or (d) are required by law to do so.

We may terminate the Service entirely with 90 days' written notice.

10.3 Effect of Termination

Upon termination: (a) your right to use the Service ceases immediately (or at the end of the billing period for voluntary cancellation); (b) you may request export of your build output and prompts for 30 days following termination; (c) after 30 days, we may delete all data associated with your account; and (d) provisions that by their nature should survive termination (including Sections 6, 9, 11, and 12) will survive.

10.4 Account Deletion

You may request full deletion of your account and associated data by contacting support. Account deletion is processed within 30 days and is irreversible. Certain data may be retained as required by law (see Privacy Policy).


11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11.2 Jurisdiction

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

11.3 Informal Resolution

Before initiating any formal proceeding, you agree to attempt to resolve the dispute informally by contacting us at [legal@wizdom.dev]. We will attempt to resolve the dispute within 30 days of receiving your notice.


12. Modifications to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' written notice via email to the address associated with your account. Non-material changes (such as formatting or clarification) may take effect immediately upon posting.

Your continued use of the Service after the effective date of modified Terms constitutes acceptance. If you do not agree to the modified Terms, you must cancel your subscription before the effective date.


13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and any applicable Enterprise agreement, constitute the entire agreement between you and the Company regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
